185 SECTION 5 COMMITMENT TO GOVERNANCE INTEGRATED ANNUAL REPORT 2025 On 9 May 2025, the RMC reviewed the outcome of the ISO 37001:2016 SIRIM Audit on the ABMS of Wasco Management Services Sdn. Bhd. (“WMS”), a wholly owned subsidiary of the Company. No non-conformities are reported and the ISO 37001:2016 SIRIM certification for WMS has been successfully renewed, and shall remain valid and effectual until April 2027. On 9 February 2026, the summarised results of the Annual Vulnerability Assessments and Penetration Testing (“VAPT”) conducted by the Group Information Technology and Digitalisation (“IT&D”) team and led by an external security expert are tabled to the RMC for review and subsequently reviewed by BSC. The VAPT is conducted across the entire Wasco Group to identify exploitable weaknesses, assess potential business impact, and support risk-based remediation planning in addressing cyber risks from both technology and human factors. The RMC considered the initiatives implemented by IT&D team to address the Group’s information risk, and WMS has successfully implemented and obtained ISO/IEC 27001 certification for its Information Security Management System (“ISMS”) during the financial year under review. The developed policies and procedures are cascaded down to other entities within the Group to ensure centralised and standardised approach for ISO/IEC 27001 compliance. ii. Integrity Committee The Integrity Committee is established comprising members from the Senior Management of the Group. The Integrity Committee oversees the areas of anti-corruption and corporate liability for corruption pursuant to Section 17A of the Malaysian Anti-Corruption Commission (“MACC”) Act 2009 (Amendment 2018) (“MACC Act”) as well as matters pertaining to anti-money laundering pursuant to the Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (“AMLA”), and in ensuring that adequate and appropriate policies and procedures are in place and the Company’s approach to anti-bribery and anti-corruption as well as the anti-money laundering is in compliance. The Committee meets at least four (4) times a year to review the adequacy of the anti-bribery and anti-corruption compliance with Section 17A of the MACC Act by the Group and where necessary matters pertaining to AMLA, and to deliberate and manage any complaints and allegations of bribery and act of corruption reported to the Committee. The proceedings of each meeting shall be minuted and a copy of the minutes will be circulated to the BSC/Board for their attention. The Chairperson of the Committee shall update and report formally to the BSC/Board and make any necessary recommendations to the BSC/Board during the quarterly BSC/Board meetings or as and when the need arises. The Committee has oversight of policy making, review and improvisation of the Company’s ABC Policy, ABMS Manual and its twenty-three (23) SOPs and practices for compliance with the MACC Act and the AMLA Policy for compliance with AMLA. During the financial year 2025, the Committee proposed and reviewed various trainings and refresher training initiatives to strengthen employees awareness in respect of the regulatory compliance and governance and in preparation for the transition from ISO 37001:2016 to ISO 37001:2025 of the ABMS standards and the changes arising from the transition. iii. Sustainability Steering Committee The Sustainability Steering Committee (“SSC”) is chaired by the Managing Director/Group CEO and has been carrying out various initiatives on environment and climate change activities and projects. The SSC is designated to support and assist the Board by the BSC in the oversight and in discharging their responsibilities towards the Group’s ongoing commitments and initiatives on its sustainability which encompasses the economics, environment, social and governance aspects to be in line with the Group’s vision, mission and values.
