REMUNERATION Remuneration of Directors and Key Senior Management The Remuneration Framework adopted by the Board is designed to increase the motivation level and productivity of the Group’s employees and ensure that the salary levels commensurate to the individual staff’s performance. As a general principle, the remuneration of Directors and Key Senior Management (i.e. Directors of the subsidiary companies and Heads of Departments) is link to their level of responsibilities and how well these responsibilities have been discharged. The Remuneration Framework and the Terms of Reference of the NRC are disclosed on the Company’s website at www.datasonic.com.my. In July and August 2023, the NRC reviewed and recommended to the Board for approval the following:- • Remuneration package for YM Tengku Dato' Seri Abu Bakar Ahmad bin Tengku Tan Sri Abdullah and Datuk Abu Hanifah bin Noordin; and • Directors’ fee and Board Committees fees for Encik Ahmad Ridwan bin Abdullah and Ms Michelle Yong Voon Sze. In May 2024, the NRC reviewed and recommended to the Board for approval the following:- • Salary increment and bonuses for the Executive Directors, Mr Chew Chi Hong and Mr Chia Kok Khuang; and • Revision to the one-off token of appreciation for the retiring Independent Non-Executive Directors. In June 2023, the NRC reviewed and recommended the proposed increase of Directors’ fees and Directors’ benefits payable to the Non-Executive Directors of the Company up to an amount of RM1,500,000 and RM300,000 respectively. The Board approved the NRC’s recommendation and the proposals subsequently tabled to the shareholders for approval at the Fifteenth Annual General Meeting of the Company. In May 2024, the NRC recommended the Directors’ fees and Directors’ benefits payable to the Non-Executive Directors of the Company shall remain the same as the previous year, up to an amount of RM1,500,000 and RM300,000 respectively. The Board approved the NRC’s recommendation for the Company to seek the shareholders’ approval at the Sixteenth AGM for the Directors’ fees payable to the Non-Executive Directors of the Company up to an amount of RM1,500,000 from the day after the Sixteenth AGM until the next AGM of the Company, to be paid monthly in arrears; and the Directors’ benefits payable to the Non-Executive Directors of the Company up to an amount of RM300,000 from the day after the Sixteenth AGM until the next AGM of the Company.
