(I)	PROPOSED PRIVATE PLACEMENT; AND

(II)	PROPOSED ESOS

On behalf of the Board of Directors of EMCC, Mercury Securities Sdn Bhd wishes to announce that the Company proposes to undertake the following:

(i)     proposed private placement of up to 10% of the total number of issued ordinary shares (excluding treasury shares, if any) in EMCC (“Proposed Private Placement”); and

(ii)     proposed establishment of an employees’ share option scheme (“ESOS” or “Scheme”) which involves up to 10% of the total number of issued ordinary shares (excluding treasury shares, if any) in EMCC at any point in time during the duration of the Scheme (“Proposed ESOS”).
