The Board of Directors of Flexidynamic Holdings Berhad (“Company”) wishes to announce that the Company had on 12 June 2024, entered into a binding letter of intent (“Letter of Intent”) with Gammatech Sdn Bhd (Registration No.: 202001021180 (1377500-V)) (“Gammatech”) for the subscription of 1,040,816 new ordinary shares, representing 51% of the enlarged issued share capital in Gammatech at a total subscription price of RM1,040,816 or RM1.00 per ordinary share (“Subscription”). Upon the completion of the Subscription, Gammatech will be a 51%-owned subsidiary of the Company.

Gammatech is a private limited company incorporated in Malaysia. Gammatech is presently dormant, and it intends to undertake the provision of sterilisation using gamma radiation.

Prior to the Subscription, the total issued share capital of Gammatech is RM1,000,000 comprising of 1,000,000 ordinary shares. The current sole shareholder of Gammatech is Eco Santec Sdn Bhd.

The percentage ratio of the Subscription is negligible.

None of the directors, major shareholders of the Company or persons connected with them have any interest, direct or indirect, in the Subscription.

The directors are of the opinion that the Subscription is in the best interest of the Company.

A copy of the Letter of Intent will be made available for inspection at the registered office of the Company at Level 15-2, Bangunan Faber Imperial Court, Jalan Sultan Ismail, 50250 Kuala Lumpur, during normal office hours on Mondays to Fridays (except public holidays) for a period of 3 months from the date of this announcement.
