PROPOSED ESTABLISHMENT OF AN EMPLOYEES' SHARE OPTION SCHEME ("ESOS") INVOLVING UP TO 10% OF EMCC'S TOTAL NUMBER OF ISSUED SHARES, EXCLUDING TREASURY SHARES, IF ANY, AT ANY POINT IN TIME DURING THE DURATION OF THE ESOS FOR THE ELIGIBLE DIRECTORS AND EMPLOYEES OF EMCC AND ITS SUBSIDIARIES, EXCLUDING DORMANT AND FOREIGN SUBSIDIARIES, IF ANY ("PROPOSED ESOS")

Reference is made to EMCC’s announcements dated 24 November 2023 (“Announcement”) and 16 January 2024 in relation to the Proposed ESOS.

Unless otherwise stated, all defined terms and abbreviations used in this announcement shall carry the same meaning as those previously defined in the Announcement.

On behalf of the Board, Mercury Securities wishes to announce that after further deliberation and taking cognizance of the prolonged timeline for the Company to implement the Proposed ESOS, the Board has today resolved to delay the implementation of the Proposed ESOS. Instead, the Board opts to reward its employees in other more expeditious manner for the current financial year in view that it has already been more than 4 months since the last financial year ended 31 December 2023.  

As such, the Company has today withdrawn the additional listing application submitted to Bursa Securities for the Proposed ESOS. The Company may consider to submit a new application to establish an employees’ share option scheme at a more opportune time in the future.
