PROPOSED PRIVATE PLACEMENT OF UP TO 28,467,900 NEW ORDINARY SHARES IN FLEXIDYNAMIC ("FLEXIDYNAMIC SHARES" OR "SHARES"), REPRESENTING APPROXIMATELY 10% OF THE TOTAL NUMBER OF ISSUED SHARES IN FLEXIDYNAMIC PURSUANT TO SECTIONS 75 AND 76 OF THE COMPANIES ACT 2016 ("PROPOSED PRIVATE PLACEMENT")

This announcement is dated 2 February 2024.

Reference is made to the Company’s first announcement dated 2 January 2024 in relation to the Proposed Private Placement ("First Announcement"). Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the First Announcement.

On behalf of the Board, Malacca Securities wishes to announce that Bursa Securities had vide its letter dated 31 January 2024 approved the listing and quotation of up to 28,467,900 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:-

  1. Flexidynamic and Malacca Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement.
     
  2. Flexidynamic and Malacca Securities to inform Bursa Securities upon the completion of the Proposed Private Placement.
     
  3. Flexidynamic to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.
