We refer to the announcements dated 28 February 2023, 11 April 2023, 27 April 2023, 11 May 2023, 22 August 2023, 23 August 2023 and 18 September 2023. Unless otherwise defined, the definitions set out in the announcement dated 22 August 2023 in relation to the Proposals shall apply herein.

On behalf of the Board, HLIB wishes to announce that Bursa Securities had, vide its letter dated 19 September 2023, resolved to approve the following:

(i) Admission to the Official List and listing and quotation of up to 187,000,000 Warrants to be issued pursuant to the Proposed Free Warrants Issue; and

(ii) Listing and quotation of up to 187,000,000 new Ecoscience Shares to be issued arising from exercise of the Warrants.

The approval granted by Bursa Securities for the Proposed Free Warrants Issue is subject to the following conditions:

(i) Ecoscience and HLIB must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Free Warrants Issue;

(ii) Ecoscience and HLIB to inform Bursa Securities upon the completion of the Proposed Free Warrants Issue;

(iii) Ecoscience to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Free Warrants Issue is completed; and

(iv) Ecoscience to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
