We refer to the announcements dated 28 February 2023, 11 April 2023, 27 April 2023 and 11 May 2023.

On behalf of the Board of Directors of Ecoscience, Hong Leong Investment Bank Berhad wishes to announce that the Company proposes to undertake the following:

(i) private placement of up to 34,000,000 new ordinary shares in Ecoscience (“Ecoscience Shares” or “Shares”), representing 10.00% of the total number of issued Shares to third party investors to be identified (“Proposed Private Placement”); and

(ii) free warrants issue of up to 187,000,000 free warrants in the Company (“Warrants”) on the basis of 1 Warrant for every 2 existing Ecoscience Shares held by the entitled shareholders of the Company whose names appear in the Record of Depositors of the Company on an entitlement date to be determined and announced later (“Proposed Free Warrants Issue”).
