The Board currently comprises of nine (9) members, out of which seven (7) are serving as Independent Directors (including the Chairman), representing 77% of the total Board composition, while two (2) are Non-Independent Directors. Three (3) Independent Directors are women, reflecting a 33% female representation on the Board in line with the recommendation of MCCG. The Board is committed to maintaining diversity in its composition and decision-making process and as the Board believes that women directors would bring objectivity and add value to Board discussions through their unique aspects, approaches and ideas. During the FY2023, no Independent NED had served on the Board for more nine (9) years from the date of his/her appointment. This is in line with MCCG recommendation on directors’ tenure.
