(Capitalised terms and all abbreviations used in this announcement shall have the same meanings as that used in our announcements dated 20 December 2017, 31 October 2018, 14 November 2018, 29 November 2018 and 19 December 2018 unless stated otherwise.)

The Company wishes to announce that its indirect wholly-owned subsidiary NGSB has today entered into a supplemental letter with KMRSB to vary and/or supplement the following terms of the SPA where both parties agreed that:

     a. The balance 90% of the Purchase Consideration shall be paid in the following manner:

          i. RM41,491,746.38 to be paid to NGSB on or before 26 December 2018; and

         ii. RM32,395,932.74 to be paid to NGSB within ninety (90) days from 19 December 2018 i.e. the Approval Date (“Completion Period”) or within thirty (30) days from the expiry of the Completion Period (“Extended Completion Period”), as the case may be. The date where full payment is made is referred to as the “Completion Date”.

     b.  The Land’s vacant possession shall be delivered to KMRSB on 26 December 2018. In the event that the sale and purchase of the Land is not completed for any reason whatsoever, KMRSB shall re-deliver the vacant possession of the Land to NGSB in its original state and condition.

Save for the variations disclosed herein, the SPA shall remain the same and be in full force and effect as agreed between the parties.
